Acceptance of Terms

By using or registering for Zoppy AI ("the service", "the platform", "we"), you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use the service. These terms apply to all users — business owners, admins and team members alike.

Service Description

Zoppy AI is a B2B SaaS platform that provides the following services for small and medium online businesses:

• Facebook Messenger automation — AI-powered automatic replies to inbox messages.
• WhatsApp Business automation — replies and order handling via WhatsApp.
• Facebook Comment automation — automatic public replies on post comments plus comment-to-inbox/order.
• Smart Order Management — orders, customers and sales in one dashboard.
• Online store — branded subdomain and custom-domain stores.
• Personal AI training — train the AI with your products and FAQs.
• Payment integration — payment references with bKash, Nagad, Rocket and more.

We reserve the right to add, change or discontinue features at any time.

Account Registration

• You must provide a valid email address and keep your login credentials secure.
• You are responsible for all activity that occurs under your account.
• To register a shop on the platform you must be a legitimate business.
• Zoppy AI may suspend or terminate any account that violates these terms.

Facebook & Meta Integration

• To enable automation you must connect your Facebook Page via Facebook OAuth, which grants the permissions required to operate the service.
• You confirm that you have the legitimate right to use the connected Page.
• Zoppy AI is not affiliated with Meta Platforms, Inc. We make no guarantee about the availability of the Facebook/WhatsApp API or changes to Meta's policies.
• You agree to comply with the Meta Platform Terms and Developer Policy. If your Page or any Meta asset is disabled/banned, the related automation will stop working.

WhatsApp Business Use

When using WhatsApp automation, you will comply with the WhatsApp Business Policy and Meta's messaging guidelines. Unsolicited marketing, spam or prohibited content is not allowed.

Acceptable Use

You will not use the service to:

• Send spam, unsolicited or misleading messages to customers.
• Violate any law or regulation, in Bangladesh or elsewhere.
• Attempt unauthorized access to any part of the platform.
• Copy, reverse-engineer or resell any part of the platform without written permission.
• Sell illegal, fraudulent or prohibited products.

Subscriptions, Credits & Free Trial

• Free trial: new users can start a 7-day free trial. After the trial, a subscription is required to keep the service active.
• Subscription: the service works on a prepaid basis. Payment is taken in advance for the billing period. All prices are in Bangladeshi Taka (BDT).
• Credits: some features are credit-based. Purchased credit packs are for use and are generally non-refundable (except as described in the refund policy).
• Upgrades: upgrading a plan may apply a proportional (pro-rated) calculation based on the remaining time.

Online Store

• You can create a subdomain or custom-domain store through Zoppy AI.
• You are fully responsible for the products, prices, descriptions, stock and order processing shown in your store.
• Transactions, delivery and dispute resolution with your customers are your responsibility; Zoppy AI is not a party to them.

Payment Processing

Zoppy AI may provide integration/reference with payment methods such as bKash, Nagad and Rocket. The actual money transfer happens through the relevant payment provider. Zoppy AI is not responsible for their service, fees or delays.

AI Output Responsibility

• AI-generated replies are automated and may not always be accurate.
• You bear final responsibility for all messages and output sent from your page/store to customers.
• You are responsible for verifying important information (price, stock, delivery).

Data, Privacy & Roles

• To operate the service we store your shop, message, order and customer data. We do not sell your or your customers' data to third parties.
• For your customers' data, you act as the data controller and Zoppy AI acts as the data processor.

Intellectual Property

All software, content and trademarks of Zoppy AI are the property of Zoppy AI or its licensors. Ownership of your shop data, product listings and customer information remains yours. To provide the service, you grant Zoppy AI a limited licence to process that data.

Limitation of Liability

The service is provided on an "as is" basis, without any warranty. Zoppy AI will not be liable for any indirect, incidental or consequential loss of revenue, data or business opportunity arising from automation errors, API downtime or changes to Meta's policies.

Account Termination & Its Effect

• You can cancel your subscription at any time from account settings.
• If you violate the terms, we may suspend/terminate the account with or without notice.
• After termination, automation stops and, where applicable, your data may be deleted.

Changes to Terms

We reserve the right to update these terms at any time. Continued use of the service after changes constitutes acceptance of the revised terms. For significant changes, we will try to notify registered users by email.

Governing Law

These terms are governed by the laws of the People's Republic of Bangladesh. Any dispute relating to the use of Zoppy AI will fall under the jurisdiction of the courts of Dhaka, Bangladesh.
